1. ACCEPTANCE OF TERMS
These Terms and Conditions ("Terms") govern your access to and use of the Athletica L.L.C. website at www.athleticagrp.com ("Site") and all services offered by Athletica L.L.C. ("Athletica," "we," "us," or "our"), including sports photography, videography, sports graphics, NIL marketing representation, documentary production, the Ambassador Program, the Brand Partnership Program, digital products, and merchandise.
By accessing this Site, submitting an athlete or brand application, purchasing a listing package, signing a service agreement, or engaging Athletica in any capacity, you confirm that you have read, understood, and agree to be bound by these Terms.
IMPORTANT: These Terms constitute a legally binding agreement. If you are under 18 years of age, a parent or legal guardian must review and agree to these Terms on your behalf.
2. ELIGIBILITY & AGE REQUIREMENTS
To use this Site and receive services, you must be at least 13 years of age or have a parent or legal guardian agree to these Terms on your behalf, possess the legal authority to enter into binding agreements, and not be prohibited from using the Site under any applicable law.
For athletes under 18 years of age ("Minors"), a parent or legal guardian must sign all service agreements and media releases on behalf of the Minor and remain the primary point of contact for all NIL-related activities.
For brand partners, you represent that you are at least 18 years of age, are authorized to enter into agreements on behalf of your company or organization, and that your brand, products, and opportunities comply with all applicable laws and regulations.
MINOR ATHLETES: All photo, video, and documentary content involving Minors requires a signed Parental Consent and Media Release form before any content is captured, edited, published, or distributed.
3. SERVICES OFFERED
3.1 Sports Photography & Videography
Athletica provides professional sports photography, videography, and sports graphics for volleyball and softball athletes including game-day photography, recruiting content, highlight reels, Media Day packages, and individual athlete sessions. All services are provided under a separate service agreement specifying scope, deliverables, timelines, and pricing.
3.2 Sports Graphics
Athletica creates custom digital graphics for athletes including commitment announcements, game-day promotions, milestone celebrations, transfer portal graphics, and brand partnership content. Digital graphics are delivered electronically and are not eligible for refund once delivered.
3.3 NIL Marketing & Representation
Athletica offers three tiers of NIL services:

Beginning Your NIL Journey: A foundational service governed by a service agreement only. No agency representation contract is required or implied.

NIL Education & Consulting: Guidance provided on a consulting basis. Athletica does not act as a legal agent under this tier. Governed by a service agreement only.

Agency Representation: Full NIL representation including brand deal negotiation, NIL marketplace listing, and sponsorship development. Requires a signed Agency Representation Agreement.
DISCLAIMER: None of the athletes photographed or displayed on this Site are under an Agency Representation contract with Athletica unless explicitly stated in writing.
3.4 Documentary Series — Athletica NEXT UP
Athletica produces short-form documentary episodes featuring youth athletes. By participating, you and your parent or guardian (if a Minor) agree that:

Athletica retains full copyright ownership of all footage, edited episodes, and derivative content

Athletes receive a personal-use license to share their episode on personal social media with credit to Athletica

Athletica may publish, distribute, promote, and monetize episodes on YouTube and other platforms
-
Revenue is shared at the agreed rate (currently 70% to athlete, 30% to Athletica) per the individual production agreement
-
Episodes may be used by Athletica for promotional and portfolio purposes
3.5 Ambassador Program
Athletes representing Athletica as ambassadors are subject to a separate Ambassador Agreement and agree to accurately represent Athletica's services, earn referral commissions only for verified bookings, and maintain conduct consistent with the Athletica brand. Athletica may terminate ambassador status at any time for violation of these Terms.
3.6 Brand Partnership Program
Athletica offers a Brand Partnership Program allowing companies, organizations, and individuals ("Brands") to connect with Athletica's athlete network for NIL opportunities, sponsorships, content creation, and promotional collaborations. By participating in the Brand Partnership Program, Brands agree to the following:
(a) Listing Packages
Brands may purchase listing packages to post opportunities on the Athletica Opportunities Board. The current package tiers are as follows:
All listing fees are non-refundable once a listing has been reviewed and approved by Athletica. If Athletica declines to approve a listing, a full refund will be issued within 7 business days.
(b) Listing Approval & Content Standards
All brand opportunities are subject to review and approval by Athletica before appearing publicly on the Site. Athletica reserves the right to reject or remove any listing at its sole discretion. Brands agree that all posted opportunities must:

Be a legitimate, lawful business opportunity with clearly stated compensation

Be appropriate for youth and collegiate athletes (no adult content, tobacco, gambling, or alcohol brands targeting Minors)

Accurately represent the brand, product, and compensation being offered
-
Comply with all applicable FTC disclosure requirements for influencer and endorsement content
-
Comply with all applicable NCAA, NAIA, and state NIL regulations
-
Not require athletes to misrepresent a product, make false claims, or engage in deceptive practices
(c) Brand Responsibilities & Athlete Protection
Brands participating in the Athletica Brand Partnership Program agree to:

Deal honestly and in good faith with all athletes introduced through Athletica
-
Honor all compensation commitments made in approved listings and executed agreements
-
Not contact athletes directly for additional opportunities outside of the Athletica platform without express permission from Athletica
-
Not require athletes under 18 to enter into any agreement without verified parental or guardian consent
-
Not use athlete images, name, or likeness beyond the scope of the agreed partnership
-
Provide agreed compensation to athletes on the timeline specified in the partnership agreement
(d) NIL Compliance — Brand Responsibility
It is the sole responsibility of the Brand to ensure that any NIL opportunity posted or executed through Athletica complies with all applicable regulations governing the athlete's eligibility, including NCAA, NAIA, NJCAA, and state-level NIL laws. Athletica is not responsible for any eligibility consequences, sanctions, or disputes arising from brand partnerships. Brands agree to indemnify and hold Athletica harmless from any claims arising from the Brand's failure to comply with applicable NIL regulations.
(e) Athletica's Role as Facilitator
In all Brand Partnership Program tiers, Athletica acts as a facilitator and marketplace connecting brands and athletes. Athletica is not a party to the underlying NIL agreement between a brand and an athlete unless Athletica is serving as the athlete's Agency Representative under a signed Representation Agreement. Athletica does not guarantee any specific outcome, athlete engagement level, or business result from any partnership facilitated through the program.
(f) Commission & Facilitation Fees
Where Athletica facilitates an NIL deal under the Elite or Season Partner tiers, Athletica earns a facilitation fee as specified in the applicable listing package agreement. No additional commissions are charged beyond the package fee unless separately agreed in writing.
(g) Brand Partner Content Rights
Brands may use athlete-created content (photos, videos, posts) only as authorized in the written agreement with the individual athlete. Brands may not repurpose, redistribute, or sublicense athlete content beyond the agreed scope without the athlete's express written consent and, if the athlete is a Minor, the consent of a parent or guardian.
(h) Prohibited Brand Categories
The following brand categories are not eligible to participate in the Athletica Brand Partnership Program:

Alcohol or tobacco brands targeting athletes under legal drinking or smoking age

Gambling or sports betting brands targeting Minor athletes

Adult content or entertainment brands
-
Brands whose products or services are illegal in the United States
-
Any brand that Athletica determines, in its sole discretion, conflicts with Athletica's values or the wellbeing of its athlete community
3.7 Digital Products & Merchandise
Digital products are non-refundable once delivered. Physical merchandise returns are subject to Printful's return policy. Athletica is not responsible for manufacturing defects beyond facilitating replacement through Printful's standard process.
4. INTELLECTUAL PROPERTY & CONTENT OWNERSHIP
4.1 Athletica's Intellectual Property
All content on this Site and produced by Athletica — including photographs, videos, documentary episodes, graphics, logos, branding, text, the Opportunities Board, and all associated intellectual property rights — is the exclusive property of Athletica L.L.C. You may not reproduce, distribute, or create derivative works without express prior written permission.
4.2 Athlete Content & Image License
Athletica retains copyright ownership of all produced content unless otherwise agreed in writing. Athletes receive a personal-use license to share delivered content on personal social media with credit to Athletica. Athletes may not sell or license Athletica-produced content to third parties without a separate commercial license. Brands accessing athlete content through the Brand Partnership Program are bound by the content rights specified in their individual athlete agreement.
4.3 Brand-Submitted Content
By submitting a brand listing, logo, or promotional content to Athletica, the Brand grants Athletica a non-exclusive, royalty-free license to display that content on the Site and in Athletica's promotional materials in connection with the brand partnership. Brands represent that they own or have the right to use all submitted content and that such content does not infringe any third-party intellectual property rights.
5. MEDIA RELEASE & RIGHT OF PUBLICITY
By signing a service agreement or submitting an athlete application, you grant Athletica the right to photograph, film, and record the athlete, and use the athlete's name, image, likeness, voice, and biographical information in Athletica's promotional materials, website, social media, documentary episodes, and portfolio. This license does not constitute NIL agency representation unless a separate Agency Representation Agreement is signed. All media releases for Minor athletes must be signed by a parent or legal guardian.
6. NCAA & ATHLETIC ELIGIBILITY COMPLIANCE
NIL rules vary by state, governing body, sport, and institution. It is the sole responsibility of the athlete, their parent or guardian, their school, and any participating brand to understand and comply with all applicable NIL regulations. Athletica is not responsible for any eligibility consequences arising from participation in Athletica's services or the Brand Partnership Program.
7. PAYMENT, PRICING & REFUNDS
7.1 Athlete Services

Photography/videography sessions: Non-refundable after session completion. Cancellations less than 48 hours before a session may forfeit any deposit paid.

Digital products: Non-refundable once delivered or accessed

Documentary production: Non-refundable once filming has commenced

NIL consulting and representation: Non-refundable for services already rendered

Physical merchandise: Subject to Printful's/Printify's 14-day return policy
7.2 Brand Partnership Listing Fees

Basic, Pro, Elite listing fees: Non-refundable once a listing has been approved and published

Declined listings: Full refund issued within 7 business days of Athletica's decision not to approve

Season Partner packages: Non-refundable after the first 7 days of the season partnership term

Listings removed by Athletica for Terms violations: No refund issued
-
Listings removed at Brand's request after approval: No refund issued
8. REVENUE SHARING
Where Athletica and an athlete agree to a revenue sharing arrangement, the current standard split is 70% to the athlete and 30% to Athletica unless otherwise specified in writing. Revenue payments are made monthly for verified, cleared earnings. Athletica reserves the right to withhold payment pending verification and deduction of applicable platform fees, taxes, or costs.
9. DISCLAIMERS & LIMITATION OF LIABILITY
Athletica provides services "as is" and makes no warranties regarding the results of any NIL deal, brand partnership, or recruiting outcome. Athletica does not guarantee that any brand listing will result in a completed athlete partnership, that any athlete will achieve a specific follower count or engagement rate, or that any NIL deal will be executed following an introduction.
To the fullest extent permitted by applicable law, Athletica L.L.C. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of this Site or Athletica's services. Athletica's total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim.
10. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Athletica L.L.C., its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Site or Athletica's services; (b) your violation of these Terms; (c) your violation of any applicable NIL regulation; (d) any brand opportunity you post that harms an athlete; or (e) any content you submit to Athletica that infringes a third party's rights.
11. TERMINATION
Athletica reserves the right to terminate or suspend access to the Site, athlete accounts, ambassador status, brand partner accounts, or any active service at any time, with or without notice, for conduct that violates these Terms or that Athletica determines is harmful to its brand or community. Brands found to have misrepresented opportunities, failed to compensate athletes, or violated athlete protection standards will be permanently banned from the Brand Partnership Program.
12. GOVERNING LAW
These Terms shall be governed by the laws of the State of Minnesota. Any disputes shall be subject to the exclusive jurisdiction of the courts in Dakota County, Minnesota.
13. CHANGES TO THESE TERMS
Athletica reserves the right to modify these Terms at any time. Changes will be posted with an updated effective date. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
